Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between Omnivinci Technologies Private Limited ("Omnivinci", "we", "our", or "us"), a company incorporated under the laws of India, and you ("User", "Dealer", or "you"), the individual or entity accessing or using the Omnivinci Drive platform.

Omnivinci Drive is a Software-as-a-Service (SaaS) platform that uses artificial intelligence to generate cinematic video and photo content for automotive dealers, detailing studios, and auto workshops in India. The platform allows users to:

• Upload vehicle photographs
• Generate AI-powered marketing videos and photo packs using pre-built templates
• Manage vehicle inventory and content library
• Share and download generated content for commercial use

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under Indian law. By using our services, you represent and warrant that you meet these requirements. If you are using the platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.

To use Omnivinci Drive, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be solely responsible for all activity that occurs under your account

We reserve the right to terminate accounts that contain false information or that are found to be in violation of these Terms.

Omnivinci Drive operates on a subscription-based credit system. By subscribing to a plan, you receive a monthly allocation of video and photo credits. Key terms:

• Credits are non-transferable and are allocated to your account on a monthly basis.
• Unused credits expire at the end of each billing cycle and do not carry over to the next month.
• Subscription fees are billed monthly in advance in Indian Rupees (INR).
• All prices are exclusive of applicable taxes (GST) unless stated otherwise.
• We reserve the right to modify pricing with 30 days prior notice to active subscribers.

You agree to use Omnivinci Drive only for lawful purposes. You must NOT:

• Upload content that violates any third-party intellectual property rights
• Generate content that is defamatory, obscene, or illegal under Indian law
• Attempt to reverse-engineer, copy, or replicate our AI models or platform
• Use the platform for automated bulk operations without written permission
• Resell or sublicense access to the platform to third parties
• Interfere with or disrupt the integrity or performance of our services

Your Content: You retain all rights to photographs and content you upload. By uploading, you grant Omnivinci a limited, non-exclusive license to process your content solely for the purpose of delivering the requested generation service.

Generated Content: Upon successful generation, you receive a fully paid-up, royalty-free, perpetual license to use, share, and commercially exploit all AI-generated content produced from your uploads. You may use generated content for advertising, social media, and listings without restriction.

Platform IP: Omnivinci Drive, its AI models, templates, source code, branding, and all associated intellectual property remain the exclusive property of Omnivinci Technologies Private Limited. Nothing in these Terms shall be construed as transferring any platform IP to you.

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described therein.

We target 99.5% monthly uptime for the Omnivinci Drive platform. We do not guarantee uninterrupted service. Generation times may vary based on third-party AI provider (Fal.ai / ByteDance Seedance) availability. We are not liable for delays caused by upstream API providers.

We reserve the right to suspend or discontinue any feature with reasonable notice.

To the maximum extent permitted by applicable Indian law:

• Omnivinci's total aggregate liability to you shall not exceed the amount you paid us in the three (3) months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• We do not warrant that AI-generated content will meet any specific creative, commercial, or quality expectations.

You may cancel your subscription and terminate your account at any time through the Settings page. Upon termination:

• Your access to the platform will cease at the end of the current billing period.
• Unused credits will not be refunded (see our Refund Policy).
• Your generated content will be available for download for 30 days post-termination, after which it may be deleted.

We reserve the right to suspend or terminate your account immediately for violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Kolkata, West Bengal, India.

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email at least 14 days in advance. Continued use of the platform after such changes constitutes your acceptance of the revised Terms.
